What will you be doing:
To provide professional advice and efficient legal business partnering to GCTL’s core clients (Barclays Corporate Secretariat, Finance, Investor Relations, Treasury, Risk, etc.) and support the Head of GCTL and the General Counsel for BX Legal. This role is to act as a Director within the corporate sub-team of GCTL, which is a team of company and corporate law lawyers within the wider GCTL team (which also includes capital markets and regulatory capital specialists).
This role focuses on corporate rather than capital markets, however, a general awareness of the latter is useful.
Key Accountabilities
Leading on providing direct legal support to GCTL’s clients. This will include running matters independently and providing technical expertise in own coverage areas. The precise scope of the role will vary depending on client demand and team resourcing, but should include:
·Demonstrate in-depth technical expertise and judgement and provide advice in relation to the application of relevant UK company and corporate legislation and regulatory requirements, including the Companies Act, FCA Listing Rules, Disclosure and Transparency Rules, UK Corporate Governance Code and the UK/EU Market Abuse Regulation, amongst other key pieces of the regulatory and legal framework as it applies to the Barclays Group’s listed companies. Advise in conjunction with counsel in relation to relevant US, EU or other relevant jurisdiction company and corporate legislation and associated regulatory requirements;
·Provide and lead legal engagement and advice to relevant stakeholders across the spectrum of Barclays’ public disclosures, including quarter, half and full year Results Announcements and Regulatory News Service announcements, US SEC filings and associated processes to support timely, compliant and transparent disclosure;
·Lead legal review and advice to support Investor Relations in their engagement with institutional equity and debt investors, market analysts and rating agencies;
·Provide dedicated legal support to BCS in relation to corporate governance, general meetings, shareholder relations and legal issues relevant to board members and legal entity requirements.
·Advising clients across Barclays functions in relation to company law issues arising from Senior Managers Regime (SMR) and other UK Individual Accountability Regimes (IAR) including indemnification and insurance for Directors and Officers;
·Leading legal review of, and legal advice in relation to ad hoc strategic projects including (but not limited to) equity issuance, share buy-backs, strategy updates, and contingency planning for material news items;
·Supporting the preparation of Board and ExCo papers in relation to corporate secretarial matters and strategic projects;
·Driving efficiencies and consistent practices, help to build knowhow and maintain templates and frameworks;
·Responding to Function clients ad hoc corporate or commercial queries; and
·Day-to-day mentoring and knowledge sharing across GCTL.
In all cases above when required, managing provision of external legal support, including by negotiating favourable fee arrangements and pro-actively managing legal spend to ensure that a high quality of service is delivered with the commercials of the organisation in mind.
There may be opportunities to work with MAST Legal, depending on capacity, work demands and cross-team requirements. This could include:
·leading/supporting senior members of the MAST Legal team on corporate and M&A transactions;
·leading/assisting with the execution of Barclays’ principal minority equity investments in a variety of sectors, including fintech, digital investments and sustainable impact/ESG, as well as debt-for-equity transactions; and
·leading/supporting the M&A planning and execution of corporate reorganisations and other special corporate projects.
What we’re looking for:
·Senior UK/English qualified lawyer with experience of corporate advisory and public disclosure requirements, with extensive experience of advising on PLC public disclosures
·Experience of advising on UK Companies Act, FCA Listing Rules, Disclosure and Transparency Rules and UK / EU Market Abuse Regulation alongside an understanding of parallel US corporate and company law and regulatory requirements
·Experience and ability to interact with the most senior stakeholders, and to present advice in a succinct and solution-oriented manner
·Ability to build strong working relationships with key stakeholders at all levels
·Able to collaborate across teams and stakeholder group in a complex Group structure
Skills that will help you in your role:
·At least 10 years PQE, and experience in an in-house role, in particular within financial services
·Experience of ECM and corporate M&A
