Explore locationJoin us as a VP - Corporate Finance. In this role, you will be part of the Banking Legal team in the Americas, providing legal support to businesses involved in equity and debt capital markets origination, syndication, and mergers and acquisitions advisory services. This will include advising Barclays transaction and commitment committees and working with senior business personnel across the coverage sectors and vertical products in the Capital Markets & Banking business within the CIBD. You will have primary coverage responsibility across all industry sectors (i.e., Natural Resources, Financial Institutions, Healthcare, Consumer, Power & Utilities, Sustainable and Impact Banking, etc) and vertical products (i.e., Equity and Debt Capital Markets, Mergers and Acquisitions, Private Capital Markets, etc). You will be responsible for the structuring, negotiation and documentation of a variety of matters, such as underwriting/purchase agreements, engagement letters, fairness opinions, and confidentiality agreements. Further, you will advise the relevant businesses on laws, rules and regulations and legal issues arising within the relevant coverage area (particularly, SEC rules and regulations, FINRA broker dealer rules, state M&A law and conflicts of interest developments). You will assist the businesses in managing legal and reputational risks of the firm’s transactions and activities in the relevant coverage area, including supporting the firm’s Transaction Review Committee and working alongside and advising its Business Selection and Compliance departments. To be successful as a VP - Corporate Finance, you should have:
• JD, New York Bar Admission
• Familiarity with SEC rules and regulations, FINRA broker dealer rules, state M&A law
• Experience with Transactional Law
• Knowledge of Capital Markets Transactions
• Contract Negotiation Experience

Minimum Salary: $288,750
Maximum Salary: $307,688
The minimum and maximum salary/rate information above include only base salary or base hourly rate. It does not include any another type of compensation or benefits that may be available.
Purpose of the role
To ensure that activities of the investment banking division are conducted in compliance with applicable laws, rules and regulations, and to help the bank manage legal and reputational risks associated with these activities.
Accountabilities
- Development and implementation of best practice legal strategies to manage risk related to non-adherence to laws, rules and regulations. .
- Legal advice and support to the bank's investment banking division on legal matters including mergers and acquisitions, securities offerings, lending and other corporate finance transactions.
- Subject matter support in the Legal department’s representation of the bank in legal proceedings related to investment banking activities, such as litigation, arbitration, and regulatory investigations.
- Creation and/or review of legal documents for the investment banking division to ensure the bank’s adherence with applicable laws, rules and regulations. Maintaining and updating form legal documentation for the investment banking division.
- Legal research and analysis to stay up to date on changes in laws, rules and regulations that may impact the bank's investment banking activities.
- Developing and delivering training programmes to educate employees on legal and regulatory requirements related to the investment banking activities.
- Act as legal advisor to the Investment banking transaction approval committees on laws, rules and regulations.
